Day Pass Agreement

The Day Pass provides access to the Nexus Spaces shared workspace for the date and access hours specified above.

A Day Pass is a single-use, non-recurring access arrangement and does not create a monthly membership or ongoing membership relationship.

The Day Pass User does not receive any rights or privileges beyond those specifically provided under this Agreement.

Nexus Spaces operates an open desk model.

The Day Pass provides access to the shared workspace but does not include a permanently assigned, reserved, or dedicated desk.

The Day Pass User may select any available desk or workspace designated for shared workspace use when they arrive.

Desk availability is first-come, first-served, subject to the capacity and operating rules of Nexus Spaces.

The Day Pass User may not reserve, claim, or permanently occupy a particular desk or workspace for their exclusive use.

WHAT THIS MEANS

You choose your workspace when you arrive.

You are welcome to select any available open desk that meets your needs. When you leave, the workspace becomes available for other users.

Personal belongings may not be used to "hold" a desk or prevent another user from using an available workspace.

Nexus may designate certain desks, rooms, or areas as reserved, unavailable, or assigned for specific purposes. Users must respect all posted designations.

Nexus does not guarantee that a particular desk, seat, location, or workspace will be available at any specific time.

The Day Pass includes access to the following amenities, subject to availability and Nexus policies:

OPEN DESK WORKSPACE

Access to available desks within the designated shared workspace.

WI-FI

Access to Nexus Spaces' wireless internet during the Day Pass access period.

COFFEE BAR

Access to the Nexus coffee bar and available coffee amenities.

SHARED PRINTER

Access to the designated wireless printer, subject to availability and reasonable-use guidelines.

IMPORTANT

Amenities are provided for the shared use and convenience of Nexus users.

Nexus may modify, replace, or temporarily restrict an amenity when necessary for maintenance, repairs, upgrades, safety, or operational reasons.

The Day Pass provides access to the shared workspace during the following designated hours:

Monday–Friday: 9:00 AM–6:00 PM

Access is limited to the date and hours associated with the Day Pass.

The Day Pass User may only access areas permitted under the Day Pass.

Conference rooms, event spaces, and other areas outside the shared workspace are not included with the Day Pass and may require a separate reservation and/or additional fee.

Nexus may temporarily modify access due to scheduled events, temporary closures, maintenance, emergencies, or other operational needs as described in this Agreement.

A Space Designed for Work & Connection

Nexus Spaces is both a shared workspace and a venue for conferences, workshops, networking events, seminars, and other professional gatherings.

Events are generally scheduled outside of regular shared workspace hours, particularly on weekends. However, from time to time, Nexus may host events or private functions during regular weekday hours that may temporarily affect the availability or configuration of the shared workspace.

When an event is expected to affect shared workspace availability, Nexus will make reasonable efforts to provide notice when practical.

Temporary Changes to Workspace

During an event, certain areas, desks, or amenities may be temporarily unavailable or rearranged.

Nexus may:

Temporarily restrict access to specific areas.

Rearrange desks or furniture.

Limit access to certain technology or amenities.

Modify normal workspace traffic patterns.

Temporarily close portions of the shared workspace.

Nexus will make reasonable efforts to minimize disruption and restore the workspace to its normal configuration as soon as practical.

Important

A Day Pass provides access to the shared workspace, but does not guarantee access to a specific desk, specific area, or uninterrupted availability of every workspace amenity.

A Day Pass is issued to the individual identified in this Agreement and is personal and non-transferable.

The Day Pass User may not:

Transfer the Day Pass to another person.

Share the Day Pass.

Allow another person to use their access credentials.

Represent that another person is covered by their Day Pass.

Guests may not use the shared workspace under the Day Pass unless expressly authorized by Nexus.

If a Day Pass User wishes to bring a guest for a meeting or other business purpose, the guest may be required to purchase their own Day Pass or obtain separate authorization from Nexus.

The Day Pass User is responsible for the conduct of any guest they bring into the facility.

Nexus may limit guest access when necessary to maintain capacity, security, privacy, or a productive environment.

Nexus provides Wi-Fi and selected technology amenities for the convenience of its users.

The Day Pass User acknowledges that:

Technology and internet access are provided on an "as available" basis.

Internet speeds and availability may vary.

Temporary interruptions may occur.

Nexus does not guarantee uninterrupted internet or technology service.

The Day Pass User is responsible for maintaining appropriate security on their own devices.

The Day Pass User is responsible for their own data and files.

The Day Pass User may not use Nexus's internet or technology systems for illegal, fraudulent, abusive, or unauthorized activities.

The Day Pass User may not attempt to access another person's accounts, devices, files, networks, or confidential information.

The coffee bar is provided as a shared amenity for Nexus users.

Users are expected to:

Use equipment responsibly.

Clean up after themselves.

Dispose of waste appropriately.

Report spills or equipment problems.

Leave the area ready for the next person.

Nexus may modify available coffee, beverages, supplies, or equipment at any time based on availability and operational needs.

The Day Pass User is responsible for their personal property, equipment, documents, computers, and other belongings.

Nexus does not assume responsibility for lost, stolen, or unattended property.

Users should not leave valuables unattended.

Personal belongings may not be left at a desk or workspace for the purpose of reserving that workspace for later use.

If an item is lost or found, please notify Nexus staff.

The Day Pass User is expected to leave the workspace in substantially the same condition in which they found it.

The Day Pass User agrees to:

Dispose of trash properly.

Clean work surfaces after use.

Return furniture to its designated location.

Handle equipment carefully.

Report spills, damage, or maintenance issues promptly.

Avoid damaging walls, floors, furniture, fixtures, or equipment.

The Day Pass User may be charged for damage beyond ordinary wear and tear caused by the Day Pass User or their guests.

Non-alcoholic beverages and food may be permitted in designated areas.

The Day Pass User is responsible for cleaning their area after eating or drinking.

Please:

Clean spills immediately.

Dispose of food and trash properly.

Avoid strong odors that may interfere with other users' experience.

Do not leave perishable food unattended.

Respect designated food and beverage areas.

Alcohol is not permitted in the shared workspace unless expressly authorized by Nexus and all applicable legal and licensing requirements have been satisfied.

The Day Pass is intended to provide a professional workspace for business and professional activities.

A Day Pass does not grant the Day Pass User the right to represent Nexus Spaces as their registered business address, mailing address, headquarters, or official business location.

Use of the Nexus address for:

Business registration

Mail

Shipping

Licensing

Government registration

Advertising

Google Business Profile

Marketing materials

Legal documents

requires separate written authorization from Nexus.

The Day Pass User may not represent that Nexus Spaces is their owned or operated location.

The following are prohibited at Nexus Spaces:

Illegal activities.

Harassment, discrimination, intimidation, or threats.

Violence or threatening behavior.

Damage or intentional misuse of property.

Unauthorized access to restricted areas.

Unauthorized use of another person's belongings, accounts, or equipment.

Activities that create an unreasonable safety risk.

Excessive noise or disruptive behavior.

Activities inconsistent with the professional nature of Nexus.

Activities that violate applicable laws, regulations, or building requirements.

Nexus reserves the right to address conduct that materially interferes with the safety, security, operation, or experience of Nexus users.

Nexus is a shared professional environment.

The Day Pass User acknowledges that conversations, meetings, documents, computer screens, and other business activities may be visible or audible to others.

The Day Pass User is responsible for protecting their own confidential information.

Users agree not to intentionally access, photograph, record, copy, or disclose another person's confidential information without permission.

Nexus does not guarantee complete privacy in shared areas.

The Day Pass User agrees to use reasonable care while using Nexus Spaces and to follow all posted safety instructions and facility policies.

The Day Pass User understands that use of a shared workspace involves ordinary risks associated with entering and using a commercial facility, including risks related to furniture, equipment, common areas, and the presence of other individuals.

Nothing in this Agreement is intended to waive rights or obligations that cannot legally be waived under applicable law.

The Day Pass User is responsible for damage to Nexus property caused by the Day Pass User or their guests, except for ordinary wear and tear.

Damage may include:

Furniture

Technology

Fixtures

Walls

Flooring

Equipment

Decorative elements

Other Nexus property

Nexus will notify the Day Pass User of any assessed damage and may charge the reasonable cost of repair or replacement.

The Day Pass fee is due at the time of purchase or before access to the shared workspace is provided.

Day Pass Fee: $25

Payment must be made using an approved payment method.

The Day Pass is valid only for the date specified in this Agreement.

Unless otherwise stated in writing by Nexus, unused Day Passes are not transferable to another person or date.

Cancellation / Refund Policy:

The Day Pass User may cancel their reservation and receive a full refund provided that the cancellation is received by Nexus Spaces at least forty-eight (48) hours before the scheduled reservation date and time.

Cancellations received less than 48 hours before the scheduled reservation, as well as no-shows, are non-refundable, and no refund or credit will be issued.

To request a cancellation, the Day Pass User must notify Nexus Spaces using the contact information provided below:

The applicable cancellation time will be determined based on the date and time the cancellation request is received by Nexus Spaces.

EXCEPTIONS

Nexus Spaces may, at its sole discretion, consider exceptions in extraordinary circumstances. Any exception or credit granted by Nexus does not establish an obligation to provide the same exception in the future.

Purchase or use of a Day Pass does not create a membership, tenancy, lease, recurring subscription, or ongoing access right.

The Day Pass User understands that:

There is no recurring payment obligation.

There is no minimum membership commitment.

The Day Pass does not automatically renew.

Additional visits require a new Day Pass or other authorized reservation.

A Day Pass does not guarantee future availability.

Nexus may immediately suspend or terminate access if the Day Pass User:

Violates this Agreement.

Violates Nexus policies.

Engages in threatening, abusive, disruptive, or inappropriate behavior.

Engages in illegal activity.

Damages Nexus property.

Creates a safety or security concern.

Uses the facility in an unauthorized manner.

Materially interferes with the use or enjoyment of the space by other users.

When access is terminated because of a violation of this Agreement or Nexus policies, the Day Pass User may be required to leave the facility immediately.

Termination of access does not eliminate responsibility for damage, losses, or other obligations arising before termination.

The Day Pass User is responsible for maintaining any insurance they deem necessary or that may be required by law or by the nature of their business activities.

Nexus's insurance coverage does not automatically cover the Day Pass User's personal property, business equipment, employees, guests, customers, or business activities.

Users should consult their insurance professional regarding appropriate coverage.

To the extent permitted by applicable law, the Day Pass User agrees to be responsible for claims, losses, damages, liabilities, costs, or expenses arising from the Day Pass User's negligent, intentional, or unlawful acts or omissions, or those of the Day Pass User's guests, occurring in connection with their use of Nexus Spaces.

This provision does not require the Day Pass User to indemnify Nexus for Nexus's own negligence or for matters that cannot legally be shifted to the Day Pass User under applicable law.

Nexus Spaces may occasionally be unavailable or experience interruptions due to circumstances beyond its reasonable control, including:

Utility interruptions.

Internet outages.

Severe weather.

Emergency conditions.

Government orders.

Building maintenance.

Repairs.

Safety concerns.

Other events beyond Nexus's reasonable control.

Nexus will make reasonable efforts to communicate significant interruptions and restore access as soon as reasonably practical.

This Agreement will be governed by and interpreted in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles, to the extent permitted by applicable law.

Any venue or dispute-resolution provision should be reviewed and finalized by legal counsel based on the location and legal structure of Nexus Spaces.

This Agreement, together with applicable Nexus Spaces policies and guidelines, constitutes the agreement between Nexus Spaces and the Day Pass User regarding use of the shared workspace under the Day Pass.

If any provision of this Agreement is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

By signing below, the Day Pass User acknowledges that they:

Have read and understand this Agreement.

Understand that Nexus operates an open desk model.

Understand that the Day Pass does not include a dedicated or assigned desk.

Understand that desks are selected from those available upon arrival.

Understand the date and access hours of the Day Pass.

Understand the included amenities.

Agree to follow Nexus Spaces policies and guidelines.

Understand that the Day Pass is personal and non-transferable.

Agree to be responsible for their guests.

Understand that the Day Pass does not create a membership, lease, tenancy, or recurring payment obligation.

IMPORTANT DAY PASS TERMS

OPEN DESK MODEL

Your Day Pass gives you access to the shared workspace—not a specific desk.

ACCESS PERIOD

Valid only on the date and during the access hours specified in this Agreement.

NO RECURRING COMMITMENT

A Day Pass is a one-time purchase and does not automatically renew.
