Membership Agreement

OPEN DESK MEMBERSHIP

Nexus Spaces operates on an open desk model.

Your membership provides access to the shared workspace, but does not include a permanently assigned, reserved, or dedicated desk.

Members may select any available desk or workspace designated for shared workspace use when they arrive.

Desk availability is first-come, first-served, subject to the capacity and operating rules of Nexus Spaces.

Members may not reserve, claim, or permanently occupy a particular desk or workspace for their exclusive use.

What This Means

You choose your workspace when you arrive.

You are welcome to select any available open desk that meets your needs. When you leave, the workspace becomes available for other members.

A member's belongings may not be used to "hold" a desk or prevent another member from using an available workspace.

Nexus may designate certain desks, rooms, or areas as reserved, unavailable, or assigned for specific purposes. Members must respect all posted designations.

Your Open Desk Shared Workspace Membership includes access to the following amenities, subject to availability and Nexus policies:

OPEN DESK WORKSPACE

Access to available desks within the designated shared workspace.

WI-FI

Access to Nexus Spaces' wireless internet during your permitted membership hours.

COFFEE BAR

Access to the Nexus coffee bar and available coffee amenities.

SHARED PRINTER

Access to designated wireless printer.

IMPORTANT

Amenities are provided for the shared use and convenience of Nexus members.

Nexus may modify, replace, or temporarily restrict an amenity when necessary for maintenance, repairs, upgrades, safety, or operational reasons.

INITIAL THREE-MONTH COMMITMENT

The Member agrees to an initial commitment of three (3) consecutive months beginning on the Membership Start Date.

The Member is responsible for all membership fees due during the initial three-month commitment, except where early termination is permitted under this Agreement or applicable law.

AUTOMATIC MONTHLY RENEWAL

AFTER THE INITIAL THREE-MONTH COMMITMENT, THIS AGREEMENT WILL AUTOMATICALLY RENEW ON A MONTH-TO-MONTH BASIS.

Unless either party provides proper notice of termination, the membership will continue on a monthly basis at the then-current membership rate.

Any change to the membership rate will be communicated in accordance with applicable law and the terms of this Agreement.

The Member acknowledges that automatic renewal is a material term of this Agreement and that membership does not automatically end after the initial three-month commitment.

The Nexus shared workspace is designed to provide a professional environment for entrepreneurs, business owners, professionals, remote workers, and other approved users.

Because Nexus operates an open desk model, members select their workspace from the desks available when they arrive.

Members agree to:

Use only available desks designated for open workspace use.

Respect desks or areas marked as reserved or unavailable.

Not claim a particular desk as their permanent workspace.

Not leave personal belongings unattended to reserve a desk.

Keep their workspace clean and organized.

Return the workspace to a clean condition when leaving.

Respect other members' personal space and belongings.

Keep conversations and calls at a reasonable volume.

Use headphones when appropriate.

Follow Nexus workspace policies.

Leave shared areas ready for the next member.

DESK AVAILABILITY

Nexus does not guarantee that a particular desk, seat, location, or workspace will be available at any specific time.

Membership provides access to the shared workspace, not to a particular physical location within that workspace.

Nexus may adjust desk configurations or workspace layouts from time to time to accommodate operations, events, maintenance, or improvements.

Membership provides access to the shared workspace during the days and hours designated by Nexus for the Member's membership plan.

Member Access Hours: Monday-Friday 9:00am - 6:00pm

Members may only access areas permitted under their membership.

Conference rooms, event spaces, and other areas outside the shared workspace may require a separate reservation and/or additional fee.

Membership provides access to the shared workspace during the designated membership hours, subject to scheduled events, temporary closures, maintenance, and other operational needs as described in this Agreement.

Members may invite guests for legitimate business purposes, subject to Nexus policies and available space.

The Member is responsible for the conduct of their guests.

Guests must:

Follow all Nexus policies.

Respect other members.

Remain in areas permitted for their visit.

Avoid disrupting the shared workspace.

Leave the facility when the Member's permitted access period ends.

Nexus may limit guest access when necessary to maintain capacity, security, privacy, or a productive environment.

Membership access is personal to the Member and may not be transferred, sold, shared, or assigned to another person.

A Space Designed for Work & Connection

Nexus Spaces is both a shared workspace and a venue for conferences, workshops, networking events, seminars, and other professional gatherings.

Events are generally scheduled outside of regular shared workspace hours, particularly on weekends. However, from time to time, Nexus may host events or private functions during regular weekday hours that may temporarily affect the availability or configuration of the shared workspace.

Member Notification

When a scheduled event is expected to affect the shared workspace during a member's normal access hours, Nexus will provide members with at least seven (7) days' advance notice whenever reasonably possible.

The notice may include:

Date and time of the event

Areas of the facility that will be affected

Any temporary changes to workspace access

Alternative arrangements, when available

Members are encouraged to plan their workspace needs accordingly when advance notice is provided.

Temporary Changes to Workspace

During an event, certain areas, desks, or amenities may be temporarily unavailable or rearranged.

Nexus may:

Temporarily restrict access to specific areas.

Rearrange desks or furniture.

Limit access to certain technology or amenities.

Modify normal workspace traffic patterns.

Temporarily close portions of the shared workspace.

Nexus will make reasonable efforts to minimize disruption to members and restore the workspace to its normal configuration as soon as practical following the event.

Important Membership Expectation

Membership provides access to the Nexus shared workspace, but does not guarantee access to a specific desk, specific area, or uninterrupted availability of every workspace amenity at all times.

Because Nexus is designed to serve both its members and the broader business community, occasional events are an integral part of the Nexus experience.

We appreciate your flexibility and understanding when these events occur.

Events are one of the ways we create opportunities for our members and the broader business community to connect, learn from one another, and elevate their businesses.

Nexus provides Wi-Fi and selected technology amenities for the convenience of its members.

Members acknowledge that:

Technology and internet access are provided on an "as available" basis.

Internet speeds and availability may vary.

Temporary interruptions may occur.

Nexus does not guarantee uninterrupted internet or technology service.

Members are responsible for maintaining appropriate security on their own devices.

Members are responsible for their own data and files.

Members may not use Nexus's internet or technology systems for illegal, fraudulent, abusive, or unauthorized activities.

The coffee bar is provided as a shared amenity for Nexus members.

Members are expected to:

Use equipment responsibly.

Clean up after themselves.

Dispose of waste appropriately.

Report spills or equipment problems.

Leave the area ready for the next person.

Nexus may modify available coffee, beverages, supplies, or equipment at any time based on availability and operational needs.

Members are responsible for their personal property, equipment, documents, computers, and other belongings.

Nexus does not assume responsibility for lost, stolen, or unattended property.

Members should not leave valuables unattended.

A member may not leave personal belongings at a desk or workspace for the purpose of reserving that workspace for later use.

If an item is lost or found, please notify Nexus staff.

Members are expected to leave the workspace in substantially the same condition in which they found it.

Members agree to:

Dispose of trash properly.

Clean work surfaces after use.

Return furniture to its designated location.

Handle equipment carefully.

Report spills, damage, or maintenance issues promptly.

Avoid damaging walls, floors, furniture, fixtures, or equipment.

Members may be charged for damage beyond ordinary wear and tear caused by the Member or the Member's guests.

Non-alcoholic beverages and food may be permitted in designated areas.

Members are responsible for cleaning their area after eating or drinking.

Please:

Clean spills immediately.

Dispose of food and trash properly.

Avoid strong odors that may interfere with other members' experience.

Do not leave perishable food unattended.

Respect designated food and beverage areas.

Alcohol is not permitted in the shared workspace unless expressly authorized by Nexus and all applicable legal and licensing requirements have been satisfied.

Membership is intended to provide a professional workspace for business and professional activities.

Membership does not automatically grant the Member the right to represent Nexus Spaces as the Member's registered business address, mailing address, headquarters, or official business location.

Any use of the Nexus address for business registration, mail, shipping, licensing, government registration, advertising, Google Business Profile, or other official purposes must be separately authorized in writing by Nexus.

Members may not represent that Nexus Spaces is their owned or operated location.

The Member agrees to pay the membership fee specified in this Agreement according to the established billing schedule.

Payments must be made using an approved payment method.

If a payment is declined or returned, Nexus may charge applicable fees and may suspend access until the account is brought current, subject to applicable law.

The Member authorizes Nexus Spaces to charge the payment method provided for recurring membership fees according to the terms of this Agreement.

The Member agrees to maintain a valid payment method on file throughout the membership.

If payment information changes, the Member is responsible for promptly updating it.

Authorization remains effective until the membership is properly terminated and all outstanding amounts have been paid.

Member Cancellation

After completion of the initial three-month commitment, the Member may cancel the membership by providing written notice to Nexus.

Required Notice: 30 days before the next billing date.

Membership remains active and payment obligations continue through the applicable notice period.

Early Cancellation

If the Member requests cancellation before completing the initial three-month commitment, the Member remains responsible for the obligations associated with the initial commitment unless Nexus agrees otherwise in writing or applicable law provides otherwise.

Nexus may suspend or terminate a membership for reasons including, but not limited to:

Nonpayment or repeated late payment.

Violation of this Agreement.

Violation of Nexus policies.

Damage to Nexus property.

Threatening, abusive, disruptive, or inappropriate behavior.

Illegal activity.

Conduct that creates a safety or security concern.

Unauthorized use of the space.

Providing unauthorized access to other individuals.

Conduct that materially interferes with the use or enjoyment of the space by other members.

Termination does not eliminate any payment obligations that accrued before the effective date of termination.

By signing below, the Member acknowledges that they:

Have read and understand this Agreement.

Understand that Nexus operates an open desk model.

Understand that membership does not include a dedicated or assigned desk.

Understand that desks are selected from those available upon arrival.

Understand the six-month initial commitment.

Understand that the membership automatically renews monthly after the initial six-month commitment unless properly canceled.

Understand the payment obligations.

Understand the included amenities.

Agree to follow Nexus Spaces policies and guidelines.

Understand that membership access is personal and non-transferable.

Agree to be responsible for their guests.

RENEWAL
